By accessing and/or using the Law Soup™ sites (“Sites”); and associated apps, chat functions, social media, or other services, or purchasing any Law Soup Media products (collectively, “Services”), you are agreeing to the following Terms of Use (also sometimes called Terms of Service) as well as the Privacy Policy, which is hereby fully incorporated into these Terms of Use.

The Law Soup Sites and Services are owned and provided by TX2, Inc. (“we” or “us”). We may revise these Terms of Use and Privacy Policy at any time without notice to you. It is your responsibility to review these Terms of Use and Privacy Policy periodically. If at any time you find these Terms of Use and/or Privacy Policy unacceptable, you must not use these Sites and Services. YOU AGREE THAT BY USING THESE SITES AND RELATED SERVICES YOU ARE AT LEAST 18 YEARS OF AGE, YOU ARE LEGALLY ABLE TO ENTER INTO A CONTRACT AND AGREE TO COMPLY WITH ALL APPLICABLE LAWS AND REGULATIONS. IF YOU ARE NOT AT LEAST 18 YEARS OF AGE YOU MUST NOT USE THESE SITES AND SERVICES.

We reserve the right to refuse service to anyone and to cancel user access at any time for any reason at our sole discretion.

2. Law Soup content is protected by Copyright and Trademark Rights, and we respect the intellectual property rights of others.

Most of the content on these Sites and Services is protected by either copyright or trademark law. The name “Law Soup” is a claimed trademark by TX2, Inc. The phrase “The laws you need to know. In edible form” is a claimed trademark by TX2, Inc. The Law Soup logo is a claimed trademark by TX2, Inc. TX2, Inc. reserves all possible copyright and trademark rights and we intend to use the law to protect these rights. This means you may not copy and use any substantial portion of the site for any purpose without our permission. If you do so, we may pursue any and all legal remedies available.

All material on this site is either owned by TX2, Inc. or being used with permission from the copyright owners. We do not intend to infringe on any person’s copyrights, and if we are inadvertently doing so, please bring this to our attention. If we agree that we are violating another’s copyright, we will correct the problem immediately.

3. Links to Third Party Sites.

These Sites and Services may contain links to websites controlled by parties outside of our control (“Third Party Sites”). We are not responsible for and do not endorse or accept any responsibility for the availability, contents, products, services or use of any Third Party Site, any website accessed from a Third Party Site, or any changes or updates to such sites. We make no guarantees about the content or quality of the products or services provided by such sites. We provide these links to you only as a convenience, and the inclusion of any link does not imply our endorsement of the Third Party Site. You acknowledge that you bear all risks associated with access to and use of content provided on a Third Party Site and agree that we are not responsible for any loss or damage of any sort you may incur from dealing with a third party. 4. License of your information. 

In connection with the use of certain Services, you may be asked to provide personal information in a questionnaire, application, form or similar document or service. This information will be protected pursuant to our Privacy Policy. In addition, you grant us a worldwide, royalty-free, nonexclusive, and fully sublicensable license to use, distribute, reproduce, modify, publish and translate this personal information solely for the purpose of enabling your use of the applicable service. You may revoke this license and terminate our rights at any time by removing your personal information from the applicable service.

5. Reviews, Comments, Communications, And Other Content.

At various locations on the Sites we may permit visitors to post reviews, comments, and other content (the “User Content”). Contributions to, access to and use of the User Content is at your own risk and subject to the below terms and all other terms and conditions of these Terms of Use.

You are legally and ethically responsible for any User Content – writings, files, pictures or any other work – that you post or transmit using any Services that allow interaction or dissemination of information. In posting User Content, you are responsible for honoring the rights of others, including intellectual-property rights (copyright, patent and trademark), the right to privacy and the right not to be libeled or slandered. For example, if you wish to post a copyrighted work as User Content, you are responsible for first obtaining the copyright holder’s permission.

Under United States federal law, you retain copyright on all works you create and post as User Content, unless you choose specifically to renounce it. By posting such user content, you grant a license to us to use, reprint, distribute, modify, and create derivative works, which will be owned by us. In posting a work as User Content, you authorize other members who have access to that service to make personal and customary use of the work, including creating links or reposting, but not otherwise to reproduce or disseminate it unless you give permission for such dissemination. You also give us permission to copy your works as part of the normal backup process. You have the right to remove any of your works from User Content at any time.

The Sites and Services are open to members worldwide (and works published on the World Wide Web, Usenet or other such services are accessible to anyone on the Internet), and we cannot guarantee that you will not run into legal trouble in other jurisdictions over your posting. You agree not to use the Sites in any way that could damage, disable, or impair any Services provided by us (or the network(s) connected to the Sites), violate the privacy and security of other users, or interfere with any user’s use and enjoyment of any of the Sites. You agree not to attempt to gain unauthorized access to any services offered on the Sites, other accounts, computer systems or networks connected to the Sites, through hacking, password mining or any other means. You agree not to obtain or attempt to obtain any materials or information through any means not intentionally made available through the Sites.

6. Unsolicited Submissions.

Except as may be required in connection with your use of the Sites and/or Services, we do not want you to submit confidential or proprietary information to us through these Sites or Services. All comments, feedback, information or material submitted to us through or in association with these Sites or Services shall be considered non-confidential. By providing such submissions to us you hereby grant us a license to use, reprint, distribute, modify and create derivative works which will be owned by us. You acknowledge that you are responsible for the submissions that you provide, including their legality, reliability, appropriateness, originality and content.

7. Inappropriate Content or Activity.

When accessing the Sites or Services, you agree not to upload, download, display, perform, transmit or otherwise distribute any content that: (a) is libelous, defamatory, obscene, pornographic, abusive or threatening; (b) advocates or encourages conduct that could constitute a criminal offense, give rise to civil liability or otherwise violate any applicable local, state, national or foreign law or regulation; or (c) advertises or otherwise solicits funds or is a solicitation for goods or services. We reserve the right to terminate or delete such material from our servers. We will cooperate fully with any law enforcement officials or agencies in the investigation of any violation of these Terms of Use or of any applicable laws.

8. No Warranty.

THESE SITES AND SERVICES AND ALL MATERIALS, DOCUMENTS OR FORMS PROVIDED ON OR THROUGH YOUR USE OF THE SITES AND/OR SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.

WE MAKE NO WARRANTY THAT: (A) THE SITES OR SERVICES OR THE MATERIALS WILL MEET YOUR REQUIREMENTS; (B) THE SITES OR SERVICES OR MATERIALS WILL BE AVAILABLE ON AN UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE BASIS; (C) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SITES OR SERVICES, OR ANY MATERIALS OFFERED THROUGH THE SITES, WILL BE ACCURATE OR RELIABLE; OR (D) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SITES OR IN RELIANCE ON THE MATERIALS WILL MEET YOUR EXPECTATIONS OR ARE SUITABLE FOR YOUR USE OR CIRCUMSTANCES.

OBTAINING ANY MATERIALS THROUGH THE USE OF THE SITES OR SERVICES IS DONE AT YOUR OWN DISCRETION AND AT YOUR OWN RISK. WE SHALL HAVE NO RESPONSIBILITY FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY CONTENT, MATERIALS, INFORMATION OR SOFTWARE.

9. Limitation of Liability.

IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, PUNITIVE, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGE (INCLUDING BUT NOT LIMITED TO LOSS OF BUSINESS, REVENUE, PROFITS, USE, DATA OR OTHER ECONOMIC ADVANTAGE), HOWEVER IT ARISES, WHETHER IN AN ACTION OF CONTRACT, NEGLIGENCE OR OTHER TORTIOUS ACTION, OR ARISING OUT OF OR IN CONNECTION WITH THE USE OR INABILITY TO USE THESE SITES OR SERVICES OR MATERIALS AVAILABLE FROM THESE SITES OR SERVICES, EVEN IF WE HAVE BEEN PREVIOUSLY ADVISED OF THE POSSIBILITY OF SUCH DAMAGE. IF YOUR USE OF MATERIALS FROM THESE SITES OR SERVICES RESULTS IN THE NEED FOR SERVICING, REPAIR OR CORRECTION OF EQUIPMENT OR DATA, YOU ASSUME ANY COSTS THEREOF. SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU, IN WHICH INSTANCE OUR MAXIMUM LIABILITY IS THE LOWEST AMOUNT ALLOWABLE UNDER THE APPLICABLE LAWS.

10. Indemnification.

You agree to defend, indemnify and hold us harmless from and against any and all claims, liabilities, damages, losses or expenses, including reasonable attorneys’ fees and costs, arising out of or in any way connected with your access to or use of the Sites and Services and any materials.

11. Governing Law; Venue.

By using these Sites and/or Services, you expressly agree that your rights and obligations shall be governed by and interpreted in accordance with the laws of the State of California, excluding its choice of law rules. Any legal action or proceeding relating to your access to or use of the Sites, Services or Materials shall be instituted in a state or federal court in the State of California. You and TX2, Inc. agree exclusively and irrevocably to submit to the jurisdiction of, and agree that venue is proper in, these courts in any such legal action or proceeding.

12. Waiver and Severability

No waiver by us of any term or condition set forth in these Terms of Use shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of us to assert a right or provision under these Terms of Use shall not constitute a waiver of such right or provision.

If any provision of these Terms of Use is held by a court or other tribunal of competent jurisdiction to be invalid, illegal or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Use will continue in full force and effect.

13. Entire Agreement

The Terms of Use constitute the sole and entire agreement between you and TX2, Inc. with respect to the Sites and Services and supersede all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral, with respect to the Sites and Services.
